Be extremely cautious and careful before investing in this company

I recommend extreme caution and careful review before investing in this company. Indeed, based on my experience (outlined below), I would recommend avoiding this company entirely.

Platform Investments:

• I invested $700 in the CalTier Fund I in 2022. I have not received any return from that investment, and the fund has since been paused.
• I invested $5,000 in 2024 in a CalTier Reg D Convertible Note. There have been no payments by the company.
• I invested $25,000 in a Convertible Note (506b) on March 11, 2025. The offering promised returns would start in 12 months (March 11, 2026). Based on the company's track record with my other investments, I have little to no expectation that these returns will be made.
Note: The total of the investments above is $30,700. This agrees with the company's total for my account; however, some investment details do not appear on statements even though the amounts are reflected. It is, of course, always a concern if the record-keeping system of any company is not 100 percent accurate.

Separate Note Agreement:

I spoke with the then-CEO about the Caltier Fund I in mid-2025. He explained that the pause was due to issues they were having with the SEC and that they needed funding for legal fees, etc. I agreed to help them via a short-term promissory note for $25,000 (separate from my platform account). The note specified an interest rate and payment schedule.

The company failed to make any payments of principal or interest within the timeframe specified in the note. In November 2025, we restructured the note so that three payments of $10,000 would be made, in December 2025 and in January and February 2026.

The December payment was not made, and there has been no communication from the company about that missed payment.

I have spoken with the current CEO on a few occasions after the initial repayment of the note was not made, but have received only vague explanations and more promises that have not been fulfilled.

In short, as of January 2026, I have received $0 in returns or repayments for any of the $55,700 I invested and loaned.
