€12.000 requirement imposed on ownership transfer – no contractual basis provided

I purchased a wallPen E2 wall printer and operated it professionally for several years, including as an authorised Contractual Partner of wallPen GmbH. When I sought to transfer ownership as part of a business sale, wallPen GmbH imposed a mandatory €12.000 check-up and training requirement, stating that without this, the new owner would not be permitted to order ink, spare parts, or receive support. wallPen GmbH further stated in writing that they would suspend system access to a machine I own outright if the check-up is not completed.

Over a period of more than two months, I repeatedly requested the contractual basis for these requirements. wallPen GmbH confirmed in writing that no specific contractual provision is required, and has maintained that position without further explanation.

I share this experience so that prospective buyers are aware that wallPen GmbH may, after purchase, impose significant financial requirements and restrict or suspend access to equipment the buyer legally owns, without prior notice and without contractual basis.
